Tenneco Clean Air India Limited has announced that its Initial Public Offer (IPO) will open for subscription on Wednesday, November 12, 2025, and close on Friday, November 14, 2025. The company has fixed the price band at ₹378 to ₹397 per equity share with a face value of ₹10 each.
The IPO comprises a pure offer for sale (OFS) of equity shares aggregating up to ₹3,600 crore, being sold by the promoter entity, Tenneco Mauritius Holdings Limited. There will be no fresh issue of shares in this offering.
The Anchor Investor bidding will open a day earlier, on Tuesday, November 11, 2025. Retail investors can place bids for a minimum of 37 equity shares and in multiples of 37 shares thereafter.
The company’s equity shares are proposed to be listed on both the BSE Limited (BSE) and the National Stock Exchange of India Limited (NSE), with the NSE being the designated stock exchange for the issue.
The IPO will be conducted through the Book Building Process, as per the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.
As per regulatory norms:

Not more than 50% of the offer will be available for Qualified Institutional Buyers (QIBs).

Up to 60% of the QIB portion may be allocated to Anchor Investors on a discretionary basis.

Not less than 15% will be available to Non-Institutional Investors (NIIs), and

At least 35% will be reserved for Retail Individual Investors (RIIs).
All investors, except Anchor Investors, must apply through the Application Supported by Blocked Amount (ASBA) mechanism using their bank accounts or UPI IDs.
JM Financial Limited, Citigroup Global Markets India Private Limited, Axis Capital Limited, and HSBC Securities and Capital Markets (India) Private Limited are the Book Running Lead Managers (BRLMs) to the issue.
The company filed its Red Herring Prospectus (RHP) dated November 5, 2025, with the Registrar of Companies. The document is available on the websites of the company, SEBI, the lead managers, and the stock exchanges.
