boAt Parent Imagine Marketing Files Updated DRHP for ₹1,500-Crore IPO

Imagine Marketing Limited, which operates the boAt brand, has filed its Updated DRHP with SEBI for a ₹1,500-crore IPO. The offering includes a ₹500-crore fresh issue and a ₹1,000-crore OFS from shareholders such as Sameer Mehta, Aman Gupta, South Lake Investment, Fireside Ventures and Qualcomm Ventures.

The company intends to apply the fresh issue proceeds towards working capital (₹225 crore), brand and marketing spends (₹150 crore) and general corporate purposes.

boAt continued to lead India’s branded personal audio market in FY25 with a 26% share by value and 34% by volume, supported by a portfolio of 250+ SKUs and annual sales of over 34 million units.

In FY25, Imagine Marketing posted ₹3,070 crore in revenue, a profit of ₹61 crore, and an EBITDA margin of 4.64%. The company generates over 70% of its revenue online, complemented by a nationwide offline network of over 12,000 stores.

ICICI Securities, Goldman Sachs India, JM Financial and Nomura India are the lead bankers for the IPO.
